1. Acceptance of Terms

By downloading, accessing, or using Vishzan ("App" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access the Service. You must be at least 18 years old to use this Service.

2. Description of Service

Vishzan is a personal finance management platform that allows you to:

• Connect and aggregate bank, investment, and credit card accounts via secure providers
• Track net worth, budgets, investments, and financial goals
• Manage real estate properties, rental income, and mortgage tracking
• Share financial data with household/family members
• Receive AI-powered financial insights and recommendations
• Monitor bills, loans, and recurring expenses
• Access reports and financial analytics

The Service is provided on an "as-is" basis and is intended for personal use only.

3. Account Responsibilities

When you create an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Enable biometric authentication (optional) at your own risk
• Be responsible for all activities that occur under your account
• Notify us immediately at support@vishzan.com of any unauthorized access
• Not share your account with others (household sharing features are provided for this purpose)

We reserve the right to suspend accounts that violate these Terms.

4. Free Trial

We may offer a free trial period for new users:

• Trial duration and features are specified at sign-up (typically 7 days)
• You will have access to all Pro features during the trial
• No payment information is required to start a trial
• At trial expiration, your account will revert to the Free plan unless you subscribe
• Trial offers may be modified or discontinued at any time
• Only one trial per user/household is permitted

5. Subscription and Payments

Subscription Plans:

We offer the following subscription tiers with varying features and limits:

• Free: Manual account tracking, basic budgeting (3 budgets), and net worth overview
• Starter: Bank account sync (up to 5 accounts), 6 months transaction history, investment tracking, bill management, and property tracking (1 property)
• Plus: Bank account sync (up to 10 accounts), 12 months history, AI-powered insights, lease tracking, property maintenance, business account (1), and household sharing (2 members)
• Pro: Unlimited bank accounts, 24 months history, advanced AI insights, investment activity tracking, automatic bill detection, unlimited properties and business accounts, household sharing (5 members), data export, and priority support

Payment Terms:

• Paid subscriptions are billed in advance on a monthly or annual basis
• Payments are processed securely through Stripe Inc., Apple Pay, and Google Pay.
• All fees are non-refundable unless otherwise required by law
• You may cancel at any time; access continues until the end of your billing period
• We reserve the right to change prices with 30 days advance notice
• Failed payments may result in service interruption after a grace period

Cancellation:

You can cancel your subscription in the App's Settings or by contacting support@vishzan.com.

Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will transition to the Free plan. Your data will be preserved securely according to our Data Retention Policy.

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems, bots, or scrapers to access the Service
• Reverse engineer, decompile, or attempt to extract source code
• Transmit viruses, malware, or any harmful code
• Impersonate any person, business, or entity
• Use the Service to provide financial advice, planning, or recommendations to third parties
• Resell, license, or commercially exploit the Service
• Circumvent security measures, usage limits, or subscription restrictions
• Harass, abuse, or harm other users or Vishzan personnel

7. Household & Family Sharing

Vishzan allows you to share financial data with household members:

• You control what data is shared and with whom
• Household members you invite will have access to shared accounts and data
• You are responsible for the actions of household members you invite
• Household permissions can be modified or revoked at any time
• We are not responsible for disputes between household members regarding shared data

By using household features, you confirm you have the right to share the data with invited members.

8. Real Estate Features

The real estate tracking features allow you to:

• Add and manage property information
• Track rental income, expenses, and mortgage payments
• Calculate property valuations and equity

9. Financial Disclaimer

AI Wealth Coach & Conversational Insights:

Our conversational AI tools are designed to provide contextual help based on your data. By using these features, you acknowledge that:

• Informational Only: AI responses are generated by Large Language Models (LLMs) and do not constitute professional, legal, or fiduciary financial advice.
• Accuracy & Hallucinations: AI models may occasionally provide inaccurate, incomplete, or biased information (often called "hallucinations"). You are responsible for verifying all facts, calculations, and suggestions.
• No Actionable Guarantees: Any growth simulations or risk scores are mathematical estimates based on historical trends and current data; they are not guarantees of future performance.
• User Input: You are responsible for the queries you submit. Do not provide sensitive credentials or third-party private information in the chat interface.

Your Responsibility:

• Always consult qualified professionals before making financial decisions
• Past performance does not guarantee future results
• We do not guarantee the accuracy, completeness, or timeliness of third-party data (including from banking partners)
• Investment values may fluctuate, and you may lose money

10. Third-Party Services & Data

Our Service integrates with trusted third-party providers to deliver our features:

• Financial Data Aggregation: Industry-leading, secure services to connect and sync your bank, investment, and credit accounts
• Property Valuation: Real estate data services for property value estimates
• Payment Processing: PCI-compliant payment services for subscription billing
• Cloud Infrastructure: Enterprise-grade cloud hosting, storage, and AI/ML services

We are not responsible for:

• The accuracy or availability of third-party data
• Changes to third-party services that affect our features
• Your relationship or disputes with third-party providers

You authorize us to access your financial accounts via secure partners using read-only credentials.

11. Intellectual Property

The Vishzan Service, including its design, code, features, logos, trademarks, and content, is owned by Vishzan LLC and protected by international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

You may NOT:

• Copy, modify, or distribute any part of the Service
• Use our trademarks or branding without written permission
• Create derivative works based on the Service
• Remove any copyright or proprietary notices

You agree to indemnify, defend, and hold harmless Vishzan LLC, its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Financial decisions you make based on information from the Service
• Actions of household members you have invited

14. Termination

By You:

You may delete your account at any time via Settings or by contacting support@vishzan.com.

By Us:

We may suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Suspected fraud or unauthorized use
• Failure to pay subscription fees
• Any other reason at our sole discretion

Effect of Termination:

• Your right to use the Service will immediately cease
• You may request data export within 90 days
• We will delete your data within 90 days of account closure or subscription termination, unless legally required to retain it for compliance or audit purposes
• Termination does not affect any accrued rights or obligations

15. Electronic Communications

By using Vishzan, sending us emails, and completing online forms, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically—via email, in-app notifications, or on the Services—satisfy any legal requirement that such communication be in writing.

You hereby agree to:

• The use of electronic signatures, contracts, orders, and other records
• Electronic delivery of notices, policies, and records of transactions
• Conducting transactions electronically via the Services

16. Service Modifications & Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

17. Dispute Resolution

Informal Resolution:

Before initiating formal proceedings, you agree to contact us at support@vishzan.com to attempt to resolve any dispute informally.

Binding Arbitration:

If we cannot resolve the dispute within 30 days, any controversy shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules.

Class Action Waiver:

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law:

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
